Caroline S. Smith

My practice varies based on the needs of my clients and the nature of their business. Companies grow and change and their legal solutions shouldn’t be evaluated through a microscope without looking at the organization as a whole. I rely on everything I’ve learned about my client when I respond to each of their specific needs.

My Background

For over fifteen years, I’ve had the opportunity to represent a diverse group of clients, from start-ups to established companies. I represent businesses spanning a wide range of industries, including: retail, service industry, food service, food franchises, manufacturing, technology and healthcare. With clients of all shapes and sizes across so many industries, I’ve had the chance to learn the intricacies of how diverse businesses operate, the challenges they face and the frequent obstacles to their success.

I’ve spent my career listening to and counseling clients through the various legal and business issues that arise in the context of operating a company or healthcare practice. Often, those issues involve corporate transactions, commercial real estate and/or investments such as:

  • corporate and LLC structuring and governance issues
  • contract review and negotiations
  • mergers and acquisitions
  • joint ventures
  • commercial real estate
  • commercial financing
  • employment matters, including contract negotiations
  • sale and acquisition of food franchises
  • business structuring corporate clients, franchisees and physician practices

I counsel companies and investors in capital-raising transactions, including private debt and equity offerings; and corporate borrowers and financial institutes in commercial loan transactions and related matters.

I also represent business owners, professionals and families with their estate planning, business succession planning and asset protection needs, offering counsel on various estate planning techniques to ensure that my client’s intentions are preserved and to maximize their available asset planning options maximized.

I am both an advocate for and an advisor to my clients and will work tenaciously on their behalf to negotiate terms that meet and, ideally, exceed their business objectives. My years of experience help me to anticipate issues, prepare for any conflicts and ultimately navigate a successful transaction. I work to ensure that my clients stay comfortably involved throughout the process so that they’re armed with the information necessary to make the tough decisions when the time comes.

In addition to practicing law, I am also a Certified Public Account registered in the State of Illinois and a licensed real estate broker. My background in accounting is an asset I utilize in evaluating my client’s businesses and their potential business transactions.

For the convenience of my clients in the southwest suburbs, I also regularly meet with clients in Oak Lawn.
